Welcome to E-Invoice Connect. By accessing and using https://einvoiceconnect.com (the "Platform"), you agree to comply with and be bound by the following Terms and Conditions. Please read them carefully.

1. Ownership and Nature of Service

E-Invoice Connect is a technology platform owned and operated by Ultiera Professional Services Limited. The Platform functions as a middleware bridge that collects invoice data from your accounting software and submits it to the Nigeria Revenue Service (NRS) E-Invoice platform.

2. User Responsibilities

• Data Accuracy: You are solely responsible for the accuracy, integrity, and legality of the invoice data transmitted from your accounting platform to E-Invoice Connect.
• System Integration: You must ensure your accounting software is correctly configured to interface with our Platform. We are not responsible for errors arising from improper local setup.
• Legal Compliance: You must ensure that your business practices and the invoices submitted comply with the tax laws of the Federal Republic of Nigeria.

3. Subscription and Payment

Access to the Platform's full functionality is subject to the following:

• Plans: Users must select and pay for a subscription plan as listed in the Platform’s payment section.
• Fees: All fees are non-refundable. We reserve the right to modify subscription pricing with reasonable notice to active users.
• Service Continuity: Failure to maintain a valid subscription will result in the immediate suspension of data transmission services to the NRS.

4. Data Handling and Deletion

By using this Platform, you acknowledge our data protocol: E-Invoice Connect will delete all detailed invoice data from its active database immediately upon successful confirmation of submission to the NRS. We retain only the Invoice Number and Date of Submission for tracking and billing purposes.

5. Limitation of Liability

To the maximum extent permitted by law, Ultiera Professional Services Limited shall not be liable for:

• Invoices rejected by the NRS due to data errors or external technical issues.
• Any loss of profits, data, or business opportunities resulting from Platform downtime.
• Indirect, incidental, or consequential damages arising from the use of the Service.

6. Intellectual Property

All software, code, branding, logos, and website content associated with E-Invoice Connect are the exclusive property of Ultiera Professional Services Limited and are protected by applicable intellectual property laws.

7. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts in Nigeria.
